On September 26, EGing Photovoltaic Technology (SH:600537) announced that 150 million unrestricted tradable shares previously held by its controlling shareholder, Shenzhen Wiz Energy Co., Ltd., had been publicly auctioned on the JD.com Judicial Auction Platform and were acquired by three purchasers. These shares have now completed non-trade transfer procedures. Consequently, Wiz Energy no holds any shares in the company and has ceased to be the controlling shareholder, resulting in a change of control.
The announcement disclosed that EGing recently received a “Supervisory Letter on Matters Concerning the Judicial Auction of Shares of the Controlling Shareholder of EGing Photovoltaic Technology Co., Ltd.” (SSE Letter [2025] No. 1296) from the Shanghai Stock Exchange. The letter required the company to verify whether there were any acting-in-concert relationships, affiliated relationships, fund transactions, or other economic interest relationships among the purchasers themselves, or between the purchasers and Wiz Energy, or the company’s current directors, supervisors, and senior management.
The company attached great importance to the matters outlined in the Supervisory Letter and, in accordance with the relevant requirements, formulated and implemented verification plans and risk control measures. According to the verification conducted by EGing and Shanghai Zechang Law Firm, the three purchasers have respectively declared via telephone interviews and video statements that:
- There are no acting-in-concert relationships, affiliated relationships, fund transactions, or other economic interest relationships among themselves.
- There are no acting-in-concert relationships, affiliated relationships, fund transactions, or other economic interest relationships with Wiz Energy or the company’s current directors, supervisors, and senior management.
Wiz Energy and the company’s current directors, supervisors, and senior management have also verified and confirmed that no such acting-in-concert relationships, affiliated relationships, fund transactions, or other economic interest relationships exist with the purchasers.
