Shunfa HengNeng plans to acquire 17 photovoltaic power stations and operation and maintenance system asset groups for 0.205 billion yuan.

on the evening of March 30, shunfa hengneng (stock code: 000631) announced that it had formally signed a “photovoltaic power station acquisition agreement” with puxing energy gathering and its wholly-owned sun company Hangzhou puxing. According to the agreement, Shunfa Hengneng plans to use its own funds to acquire the asset portfolio of 17 photovoltaic power plants and their operation and maintenance systems under the name of the other party. The non-tax price of this asset transfer is 0.181 billion yuan, the value-added tax rate is 13%, and the corresponding tax amount is 23.53 million yuan. Therefore, the total price and tax is 0.205 billion yuan.

The announcement further revealed that the 17 target power stations are all distributed photovoltaic power stations, and their total installed capacity has reached 67.01MW. These power stations are widely distributed in Zhejiang, Jiangsu, Shanghai, Hubei, Anhui, Henan, Hebei, Guangxi and Chongqing and other provinces and cities.

Shunfa Hengneng said that since Puxing Juneng and the Company are under the control of the same ultimate controller, the transaction is considered a connected transaction. However, the transaction does not constitute a major asset restructuring as stipulated in the measures for the Administration of Major Asset restructuring of listed companies, so it does not need to be approved by the relevant departments. Through the acquisition of the photovoltaic power plant asset group, Shunfa Hengneng aims to achieve effective integration of resources, further optimize the company’s business structure, accelerate the company’s transformation process, thereby increasing power generation revenue, improving profitability, and continuing to enhance the company’s core competitiveness.
