Bowei alloy to sell 3GW photovoltaic module production capacity in the United States

on April 13, Bowei alloy announced that in view of the changes in the current international trade environment, in order to optimize the company’s asset structure, promote the company’s sustained and steady development, and effectively safeguard the interests of listed companies and all shareholders, the company plans to sell 100 per cent of its wholly-owned Boviet Solar Technology (North Carolina) LLC (hereinafter referred to as “Bovelt (North Carolina)”). Bovelt (North Carolina) has a production capacity of 3GW solar modules in the United States.

In order to improve the company’s asset disposal efficiency and accelerate the promotion of asset sales related matters, in accordance with the “Company Law”, “Securities Law”, “Shanghai Stock Exchange Stock Listing Rules” and the “Articles of Association” and other relevant regulations, the company intends The sale of Bovelt (North Carolina) authorizes the chairman of the company to carry out relevant negotiations, agreement signing and asset delivery within the scope of authority approved by the board of the board of the board of directors.

Bovelt (North Carolina) was established in January 2024. Its core asset is a solar module production line with an annual output of 3GW. The production line is expected to be officially put into production and sold in the second half of 2025. From July 2025, the U.S. Big and America Act will come into effect. The Act sets stricter and clearer regulations on the investment, mergers and acquisitions and participation of related industries by foreign entities of Concern (Foreign entities of interest, FEOC) in the United States, especially for China and other national investors identified as FEOC, and sets compliance restrictions and regulatory requirements for relevant projects in the United States.

Considering that the above policy changes may adversely affect the continued operation, compliance arrangements and future development of the company’s U.S. related assets, the company adheres to the concept of safeguarding the interests of listed companies and all shareholders and actively responding to changes in the external policy environment, Decided to sell these assets.
